Client Obligations and Responsibilities

Clients are responsible for ensuring their use of our services complies with all applicable laws and regulations:

2. Technical Conduct and System Usage
Clients must maintain professional standards in their technical environments and system usage:
Prohibited Activities:
- • Attempting unauthorized access to systems
- • Deploying malicious or harmful software
- • Violating third-party terms of service
- • Interfering with service operations
Required Standards:
- • Maintaining secure development practices
- • Following agreed change management procedures
- • Providing accurate technical information
- • Cooperating with security assessments
3. Data and Information Management
Clients are responsible for proper management of their data and information systems:
- Maintaining adequate backups of critical data before service implementation
- Ensuring data accuracy and completeness for service delivery
- Protecting sensitive information and access credentials
- Notifying FlowOps of any data classification or handling requirements
- Obtaining necessary permissions for data processing and system access
- Implementing appropriate data retention and deletion policies
4. Indemnification Obligations
Clients agree to indemnify and hold FlowOps harmless from certain claims and damages:
Indemnification Scope: Clients will defend, indemnify, and hold harmless FlowOps from any claims, damages, losses, or expenses arising from:
- • Client's violation of these terms or applicable laws
- • Misuse of delivered services or configurations
- • Unauthorized modifications to implemented solutions

- • Third-party claims related to client's business operations
Liability Limitations and Warranties
5. Disclaimer of Warranties
FlowOps provides services on an "as is" basis with specific warranty limitations:
Express Warranties:

- • Deliverables will conform to agreed specifications
- • Work will comply with industry best practices
Warranty Disclaimers:
FlowOps disclaims all other warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that services will be error-free, uninterrupted, or meet all client requirements.
6. Limitation of Liability
FlowOps' liability is limited to protect against disproportionate claims while ensuring appropriate accountability:
Liability Cap:
FlowOps' total liability for any claims arising from services shall not exceed the total amount paid by the client for the specific services giving rise to the claim, or €50,000, whichever is less.
Excluded Damages:
FlowOps shall not be liable for:
- • Indirect, incidental, or consequential damages
- • Loss of profits, revenue, data, or business opportunities
- • Business interruption or system downtime costs
- • Third-party claims not related to our direct actions
7. Force Majeure and External Dependencies
FlowOps is not liable for delays or failures due to circumstances beyond our reasonable control:

- • Internet outages and infrastructure failures
- • Pandemics and public health emergencies

8. Insurance and Risk Management
FlowOps maintains appropriate professional insurance coverage while clients are responsible for their own risk management:
Professional Insurance: FlowOps maintains professional liability insurance appropriate for our service offerings. Coverage details are available upon request for qualified clients.
Client Responsibility: Clients are encouraged to maintain their own comprehensive insurance coverage for business operations, data protection, and cyber security incidents.
Legal Framework and Dispute Resolution
9. Governing Law and Jurisdiction
This agreement is governed by Cyprus law with specific jurisdiction provisions:
Legal Framework:
- • Governed by the laws of the Republic of Cyprus
- • Subject to European Union regulations where applicable
- • Disputes resolved in Cyprus courts unless otherwise agreed
- • English language version prevails in case of translation disputes
International Clients: For clients outside Cyprus, we may agree to alternative dispute resolution mechanisms while maintaining Cyprus law as the governing legal framework.
10. Dispute Resolution Procedures
We encourage early resolution of disputes through structured procedures:
Step 1: Direct Negotiation
Parties will first attempt to resolve disputes through good faith negotiation between designated representatives within 30 days of written notice.
Step 2: Mediation
If negotiation fails, parties may agree to non-binding mediation through a mutually acceptable mediator within 60 days.
Step 3: Formal Proceedings
Unresolved disputes may proceed to binding arbitration or court proceedings as agreed in the service contract.
11. Severability and Amendment
These terms are designed to remain enforceable even if individual provisions are found invalid:
Severability Clause:
If any provision is found unenforceable, the remainder of these terms will continue in full force and effect. Invalid provisions will be replaced with enforceable terms that best achieve the original intent.
Amendment Process:
These terms may only be modified through written agreement signed by both parties, except for non-material updates communicated with 30 days notice.
12. Entire Agreement and Integration
This document, together with related agreements, constitutes the complete understanding between parties:
Complete Agreement: These Terms and Conditions, together with our Terms of Service, Privacy Policy, and any executed service agreements, represent the entire agreement between FlowOps and the client.
Superseding Effect: This agreement supersedes all prior negotiations, representations, or agreements relating to the subject matter, whether written or oral.
